NEPSE explained

T+2 settlement: when your shares and money arrive

T is the trade day. NEPSE settles trades two trading days later (T+2): the buyer's shares reach their demat and the seller is paid through the broker. Weekends and holidays don't count.

Day by day

DayBuyerSeller
T (trade day)Order executes in TMS; contract note issuedOrder executes; do EDIS in Meroshare the same day
T+1Pay the broker (collateral/bank transfer)EDIS deadline (broker's cut-off) — shares blocked for delivery
T+2Shares credited to dematSettlement done; broker pays out the sale amount after fees and CGT

Holidays push each step to the next trading day. Bonus and IPO shares follow their own (longer) corporate-action timelines.

Close-out: what if the seller doesn't deliver?

If sold shares aren't delivered (most often a forgotten EDIS), the trade is closed out and the seller pays 20% of the transaction amount — reported as 75% to the buyer and 25% to the government. Do EDIS on time.

Can I sell the same day I buy?

Not as normal practice today: NEPSE doesn't yet have a legal intraday-trading framework, so shares you buy should be settled in your demat before you sell them. In September 2026 the government's capital-market reform plan said it would draft the legal basis for intraday, margin trading and short selling — until that's in force, plan on holding at least until settlement.

Frequently asked questions

What does T+2 mean?

Trade day plus two trading days. Settlement — shares to the buyer, money to the seller — completes on the second trading day after the trade.

When will bought shares show in my demat?

On T+2, once your broker has received your payment. Weekends and holidays are skipped.

When do sellers get their money?

After settlement on T+2, through the broker, net of commission, SEBON fee, DP charge and capital gains tax.
